Description
Ritual is building a sovereign, execution layer for AI, with its private testnet live. The Ritual chain is the first blockchain built to support AI-native operations, combining crypto and AI technologies. The first product, Infernet, allows developers to access AI models on-chain and off-chain via smart contracts. The Legal Counsel will be the first in-house legal hire, establishing and managing all legal frameworks for Ritual. This hands-on role requires expertise in corporate, employment, regulatory legal matters with focus on Web3 and AI. Duties include advising executives, ensuring compliance, and mitigating risk as the company scales.
Responsibilities
- Build the legal function from scratch: policies, processes, templates. - Advise executive team and board on legal, regulatory, business matters. - Oversee corporate governance: board resolutions, minutes, shareholder agreements. - Draft, review, negotiate contracts: commercial, vendor, partnership, employment. - Establish contract management systems. - Develop and maintain compliance programs (GDPR, AML, OFAC, data privacy, IP). - Monitor regulatory developments impacting blockchain and AI. - Manage legal risk, disputes, litigation, external counsel. - Support fundraising legal needs: term sheets, stock issuance, investor agreements, equity administration.
